Terms & Conditions – Logo Promotion
1. **Definitions**
“Company” refers to Logo Promotion.
“Customer” refers to the individual or organisation placing the order. “Goods” refers to all printed, embroidered, decorated, or supplied products.
2. **Acceptance of Orders**
All orders are subject to acceptance by the Company. Submission of an order, payment of a deposit, or approval of artwork constitutes
acceptance of these Terms & Conditions.
3. **Quotations & Pricing**
All quotations are valid for 14 days unless otherwise stated. Prices are subject to change without notice due to supplier increases, material
costs, or specification changes prior to order confirmation.
4. **Payment Terms**
Full payment is due strictly by the invoice due date. The Company reserves the right to require full or partial payment before production
commences.
The Company reserves the right to:
* suspend production,
* withhold delivery,
* cancel future orders,
* or recover costs incurred
where payment terms are breached.
5. **Late Payments**
The Company reserves the right to charge statutory interest and compensation on overdue invoices pursuant to the Late Payment of Commer-
cial Debts (Interest) Act 1998. The Customer shall also be liable for all recovery costs, legal fees, and collection expenses incurred.
6. **Artwork Approval & Liability**
The Customer is solely responsible for checking and approving all artwork, spelling, colours, dimensions, quantities, positioning, and specifica-
tions before production.
Once approval has been provided, the Company accepts no liability for errors, omissions, or inaccuracies contained within the approved artwork.
7. **Colour & Product Variations**
Due to manufacturing processes, printing methods, embroidery, screen calibration, and fabric differences, slight variations in colour, position-
ing, size, and finish may occur. Such variations shall not constitute defects.
8. **Production & Delivery Times**
Delivery and production times are estimates only and are not guaranteed. The Company shall not be liable for delays caused by suppliers,
couriers, equipment failure, artwork delays, force majeure events, or circumstances beyond reasonable control.
9. **Risk & Title**
Risk in the Goods passes to the Customer upon delivery or collection.
Legal title and ownership of all Goods remain with the Company until full payment has been received in cleared funds.
10. **Returns, Refunds & Claims**
Due to the customised nature of printed and embroidered products, Goods are non-returnable and non-refundable except where defective or
incorrectly supplied by the Company.
Any claim for shortages, defects, or incorrect Goods must be submitted in writing within 7 days of delivery. Failure to notify within this period constitutes acceptance of the Goods.
11. **Customer Supplied Goods**
The Company accepts no liability for loss, damage, shrinkage, marking, or defects arising during the decoration process of customer supplied
garments or materials. All such work is carried out entirely at the Customer’s risk.
12. **Intellectual Property**
The Customer warrants that any logos, designs, trademarks, or artwork supplied do not infringe the intellectual property rights of any third
party. The Customer agrees to indemnify the Company against all claims, damages, costs, and liabilities arising from such infringement.
13. **Cancellations**
Orders cancelled after production has commenced shall remain fully chargeable. Deposits are non-refundable once artwork preparation,
ordering, or production has begun.
14. **Force Majeure**
The Company shall not be liable for failure or delay in performing obligations due to events beyond reasonable control including but not limited
to natural disasters, strikes, supply shortages, transport disruption, equipment failure, or governmental restrictions.
15. **Limitation of Liability**
To the maximum extent permitted by law, the Company’s liability shall be limited strictly to the invoice value of the Goods supplied. The
Company shall not be liable for indirect, consequential, or financial losses including loss of profits, business interruption, or reputational damage.
16. **Governing Law**
These Terms & Conditions shall be governed by and construed in accordance with the laws of England and Wales. Any disputes shall be
subject to the exclusive jurisdiction of the courts of England and Wales.
